PAYMENT. WOW! Factor Digital requires a 35% deposit to cover preliminary expenditures. The balance is due and payable upon completion and delivery of final artwork.
ESTIMATES. The fees and expenses shown are estimates only. Final fees and expenses shall be shown when invoice is rendered. Client’s approval shall be obtained for any increases in fees or expenses that exceed the original estimate by 10% or more.
CANCELLATION. In the event of cancellation of this project, ownership of all artwork and copyrights shall be retained by WOW! Factor Digital, and a cancellation fee for work completed based on the contract price and expenses already incurred shall be paid by the client. Cancellation of this project must be provided by the client in writing to WOW! Factor Digital.
CHANGES. Client shall make additional payments for changes requested in above specifications. However, no additional payment shall be made for changes required to conform to original specifications.
OWNERSHIP OF ARTWORK. Upon receipt of full payment, WOW! Factor Digital transfers exclusive rights of ownership to the client for the above project only.
MARKETING. WOW! Factor Digital reserves the right to use any work produced as samples, which may be used or reproduced in any reasonable way for marketing needs.
RELEASES. Client will indemnify WOW! Factor Digital against all claims and expenses, including reasonable attorney’s fees, due to the publication of materials for which no release was given or for uses which exceed authority granted by a release.
EXPENSES. Client shall reimburse WOW! Factor Digital for all expenses arising from this project, including the payment of any sales taxes due on this project.
MODIFICATIONS. If modifications of this project are to such an extent that the contract is no longer applicable, a new contract or a client change request form will be submitted and must be agreed to by both parties before any further work can proceed.
ARBITRATION. Any disputes in excess of the maximum limit for small claims court arising out of this agreement shall be submitted to binding arbitration before a mutually agreed upon arbitrator pursuant to the rules of the American Arbitration Association. The Arbitrator’s award shall be final, and judgement may be entered upon it in any court having jurisdiction thereof. The client shall pay all arbitration and court costs, reasonable attorney’s fees, and legal interest on any award or judgement in favor of WOW! Factor Digital.
